These Terms and Conditions govern the provision of access to a white-label customer relationship management and marketing automation platform (the "Platform") resold by Keep It Simple Sales Ltd ("we", "us", "the Licensor") to clients and subscribers ("you", "the Licensee"). By subscribing to or using the Platform, you agree to be bound by these terms.

Please read these terms carefully before subscribing. If you do not agree to these terms, you must not use the Platform.

1. About the Platform

1.1  The Platform is provided by Keep It Simple Sales Ltd as a white-label reseller of software developed and maintained by HighLevel Inc. ("GoHighLevel"). Keep It Simple Sales Ltd is not the developer or owner of the underlying software.

1.2  By subscribing, you acknowledge that the Platform is a third-party software product. While we provide support and account management, the availability, security, and core functionality of the Platform is dependent on GoHighLevel as the underlying provider.

1.3  We reserve the right to update, change, or modify the branding, configuration, or features available through the Platform at any time, in line with changes made by GoHighLevel or as required by our business operations.

2. Grant of Licence

2.1  Subject to payment of the applicable subscription fee and compliance with these terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your own internal business purposes.

2.2  This licence does not permit you to:

• Sub-licence, resell, or otherwise make the Platform available to any third party without our prior written consent

• Use the Platform on behalf of any third party as a managed service without a separate written agreement

• Reverse engineer, decompile, or attempt to extract the source code of the Platform

• Use the Platform in any way that violates applicable law or these terms

2.3  This licence is granted on a rolling monthly basis and continues until terminated in accordance with Clause 9.

3. Subscription, Payment & Billing

3.1  Access to the Platform is provided on a subscription basis. Subscription fees are charged monthly in advance according to the package selected by you at the time of sign-up.

3.2  All subscription payments are processed by Stripe, a third-party payment processor. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis.

3.3  All subscription fees are exclusive of VAT. VAT is payable in addition to the subscription charge at the rate applicable at the time of billing, in accordance with UK law.

3.4  It is your responsibility to ensure that your payment details remain valid and up to date. We are not responsible for any disruption to your access caused by a failed payment resulting from outdated or incorrect payment information.

3.5  If a payment fails, we reserve the right to suspend access to the Platform until the outstanding amount is settled. We will make reasonable efforts to notify you of a failed payment before suspending access.

3.6  We reserve the right to amend subscription pricing with no less than 30 days written notice to you. Continued use of the Platform after the effective date of a price change constitutes acceptance of the revised pricing.

4. Acceptable Use

4.1  You agree to use the Platform only for lawful business purposes and in accordance with these terms. You must not use the Platform to:

• Send unsolicited commercial communications (spam) in violation of the Privacy and Electronic Communications Regulations 2003 or any other applicable law

• Collect, store, or process personal data in a manner that violates the UK GDPR or Data Protection Act 2018

• Harass, threaten, defame, or abuse any individual or organisation

• Transmit or upload any content that is unlawful, harmful, offensive, fraudulent, or misleading

• Infringe the intellectual property rights of any third party

• Introduce malware, viruses, or any other malicious code into the Platform

• Attempt to gain unauthorised access to any part of the Platform or its underlying systems

• Use the Platform in any way that could damage, overload, or impair its functionality

4.2  We reserve the right to suspend or terminate your access immediately and without notice if we reasonably believe you are in breach of this clause.

5. Data Protection & GDPR

5.1  Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

5.2  For the purposes of data protection law:

• You are the Data Controller in respect of any personal data you upload, store, or process using the Platform

• Keep It Simple Sales Ltd acts as a Data Processor on your behalf in relation to such data

• GoHighLevel (HighLevel Inc.) acts as a Sub-Processor

5.3  You are responsible for ensuring that you have a lawful basis for processing any personal data stored within the Platform, and that you have provided appropriate privacy notices to any individuals whose data you process.

5.4  You must not store sensitive personal data (as defined under UK GDPR) within the Platform unless you have appropriate safeguards and legal basis in place to do so.

5.5  In the event of a personal data breach affecting data you have stored on the Platform, you are responsible for meeting your own notification obligations to the ICO and to affected individuals. We will make reasonable efforts to notify you of any breach that comes to our attention without undue delay.

5.6  Upon termination of your subscription, you are responsible for exporting and retaining any personal data you require prior to your access being removed. We cannot guarantee the retention of your data beyond the termination date.

5.7  Data stored within the Platform may be processed and stored on servers outside the United Kingdom by GoHighLevel. By using the Platform, you acknowledge and consent to such international data transfers, subject to appropriate safeguards being in place.

6. Service Availability & Third Party Platform

6.1  We will use reasonable endeavours to ensure that the Platform is available to you. However, we cannot guarantee uninterrupted or error-free access at all times.

6.2  The Platform is dependent on GoHighLevel as the underlying provider. We are not liable for any outages, interruptions, data loss, or changes to functionality that are caused by GoHighLevel or are outside of our reasonable control.

6.3  GoHighLevel may from time to time update, change, or discontinue features of the underlying platform. We will endeavour to communicate material changes to you where possible, but we are not liable for any impact such changes may have on your use of the Platform.

6.4  Scheduled maintenance or upgrades may occasionally require temporary suspension of access. We will endeavour to provide reasonable advance notice of planned maintenance where possible.

7. Intellectual Property

7.1  All intellectual property rights in the Platform, including the underlying software, remain the property of GoHighLevel (HighLevel Inc.) or their respective licensors.

7.2  The Keep It Simple Sales Ltd brand, logo, and white-label customisations applied to the Platform are the property of Keep It Simple Sales Ltd and must not be reproduced or used without our written consent.

7.3  You retain ownership of all data, content, and materials that you upload or create within the Platform. By uploading content, you grant us a limited licence to store and process that content solely for the purpose of providing the Platform to you.

8. Confidentiality

8.1  Each party agrees to keep confidential any information disclosed by the other party that is identified as confidential or that ought reasonably to be regarded as confidential, and not to disclose such information to any third party without the other party's prior written consent.

8.2  This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or regulation.

8.3  The obligations in this clause shall survive termination of this agreement for a period of two years.

9. Termination & Suspension

9.1  You may cancel your subscription at any time by providing written notice to us. Cancellation will take effect at the end of your current monthly billing period. No refunds are provided for any unused portion of a subscription period.

9.2  We may suspend or terminate your access to the Platform immediately and without notice if:

• You breach any material term of these terms and conditions

• You fail to make payment and the payment remains outstanding after a reasonable period

• We reasonably believe your use of the Platform poses a risk to other users, the Platform, or third parties

• We are required to do so by law or by GoHighLevel

9.3  We may terminate this agreement on 30 days' written notice for any reason, including if we cease to operate as a GoHighLevel reseller.

9.4  Upon termination, your licence to use the Platform ceases immediately and you must discontinue all use. You are responsible for exporting any data you require before termination takes effect.

10. Liability

10.1  Nothing in these terms shall limit or exclude either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10.2  Subject to clause 10.1, we shall not be liable to you for any:

• Loss of profits, revenue, or business

• Loss of data or corruption of data

• Loss of business opportunity or contracts

• Indirect, special, or consequential loss

• Loss or damage arising from the acts or omissions of GoHighLevel as the underlying platform provider

10.3  Our total aggregate liability to you in respect of any claim arising under or in connection with these terms shall not exceed the total subscription fees paid by you in the three months immediately preceding the event giving rise to the claim.

10.4  We make no guarantees or representations that the Platform will meet your specific business requirements or that it will be free from errors at all times.

11. Notices & Communications

11.1  Any notices required under these terms should be sent in writing to Keep It Simple Sales Ltd at the email or postal address provided on our website.

11.2  We may send notices to you at the email address associated with your account. It is your responsibility to ensure your contact details are kept up to date.

11.3  Notices sent by email shall be deemed received on the next business day following transmission.

12. General

12.1  These terms constitute the entire agreement between you and Keep It Simple Sales Ltd in relation to the Platform and supersede any prior agreements or representations.

12.2  If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3  Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

12.4  We may update these terms from time to time. We will provide reasonable notice of material changes. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised terms.

12.5  These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.6  Nothing in these terms creates any partnership, joint venture, or agency relationship between the parties.

12.7  A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
